Please read these Terms of Service carefully. By creating an account or using Paramly, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or organisation, you represent that you have authority to bind that entity.
1. Agreement to Terms
These Terms of Service (“Terms”) form a binding agreement between you (“you”, “Customer”) and Paramly (“Paramly”, “we”, “us”) governing your access to and use of the Paramly web application, APIs, browser extension, and related services (collectively, the “Service”).
If you do not agree to these Terms, you must not access or use the Service. Your use of the Service is also subject to our Privacy Policy, which is incorporated into these Terms by reference.
2. The Service
Paramly is a campaign URL and tracking link management platform for marketing teams. The Service may include, without limitation:
- A URL builder for creating UTM-tagged and CID-tagged campaign links
- A campaign library for storing, searching, and organising saved links
- QR code generation (“QR Studio”) and link shortening via connected providers
- Reusable naming templates and taxonomy governance rules
- External link tracking and click/CTR reporting sourced from connected analytics platforms
- Integrations with third-party tools (e.g. Google Analytics 4, Adobe Analytics, Bitly, Slack, Microsoft Dynamics 365)
- Administrative features including user management, roles, and permissions
- AI-assisted features for generating and suggesting campaign URLs and parameters
We may add, modify, or discontinue features at any time. We will use reasonable efforts to notify you of material changes that adversely affect your use of the Service.
3. Accounts & Eligibility
To use most features, you must create an account. You agree to provide accurate information, keep your credentials secure, and accept responsibility for all activity that occurs under your account. You must be at least 18 years old to use the Service.
You are responsible for managing the access and permissions of any users you invite to your workspace, including administrators, editors, analysts, and viewers.
4. Your Responsibilities & Acceptable Use
You agree not to, and not to permit any user to:
- Use the Service for any unlawful, fraudulent, or harmful purpose
- Create tracking links that direct to malware, phishing, illegal, or infringing content
- Attempt to gain unauthorised access to the Service, other accounts, or our systems
- Interfere with, disrupt, or place undue load on the Service or its infrastructure
- Reverse engineer, decompile, or attempt to extract source code, except where permitted by law
- Resell, sublicense, or provide the Service to third parties except as expressly permitted
- Circumvent usage limits, rate limits, or access controls
You are solely responsible for the content of the links, parameters, and data you create or upload, and for ensuring your use complies with all applicable laws and any third-party terms (including those of connected analytics and link-shortening providers).
5. AI-Assisted & Automated Features
Certain features of the Service generate campaign URLs, parameter values, naming suggestions, and other output using artificial intelligence, automation, or algorithmic generation (“Generated Output”).
Important: Generated Output may be inaccurate, incomplete, outdated, or inconsistent with your taxonomy, brand standards, or legal requirements. AI-generated results can be wrong. You must review, validate, and manually check all Generated Output before relying on it, publishing it, or distributing any link created with it.
Paramly does not warrant the accuracy, completeness, or fitness of any Generated Output. You remain fully responsible for the links and parameters you ultimately use, including ensuring they contain no Personally Identifiable Information (PII) and conform to your governance rules. Paramly is not liable for any loss arising from your reliance on unreviewed Generated Output.
6. Tracking Links, Parameters & Your Data
You retain all rights to the campaign links, UTM/CID parameters, and other data you create or submit (“Customer Data”). You grant Paramly a limited licence to host, process, and display Customer Data solely to provide and improve the Service.
You are responsible for the content of your tracking links. As described in our Privacy Policy, the responsibility for ensuring no PII is embedded in tracking links rests solely with you. We may use aggregated and anonymised data that does not identify you or any individual to operate and improve the Service.
7. Third-Party Integrations & Services
The Service can connect to third-party platforms (for example, Google Analytics 4, Adobe Analytics, Bitly, Slack, and Microsoft Dynamics 365). Your use of those platforms is governed by their own terms and privacy policies, and your access depends on credentials and API keys that you provide.
Paramly is not responsible for the availability, accuracy, or behaviour of third-party services, including click and CTR figures synced from analytics providers or short links generated by external shortening services. You are responsible for keeping any API keys or credentials you supply valid and secure.
8. Fees, Plans & Payment
Paid plans are billed in advance on a recurring basis according to the plan you select. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and subject to change with reasonable notice. Payments are processed by third-party payment providers; we do not store full card numbers.
If a payment is overdue, we may suspend or limit your access to paid features. You are responsible for all applicable taxes other than taxes based on our net income.
9. Intellectual Property
The Service, including its software, design, trademarks, and content (excluding Customer Data), is the proprietary property of Paramly and its licensors and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you.
If you provide feedback or suggestions, you grant Paramly a perpetual, royalty-free licence to use that feedback to improve the Service without obligation to you.
10. Confidentiality
Each party may have access to the other’s non-public information (“Confidential Information”). The receiving party will use Confidential Information only to perform under these Terms and will protect it using at least reasonable care. This obligation does not apply to information that is public through no fault of the receiving party or is independently developed.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that any Generated Output, analytics data, or shortened link will be accurate.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARAMLY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. Our total aggregate liability arising out of or relating to these Terms will not exceed the amounts you paid to Paramly for the Service in the three (3) months preceding the event giving rise to the claim.
13. Indemnification
You agree to defend, indemnify, and hold harmless Paramly and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Customer Data, your use of the Service, your tracking links, or your violation of these Terms or any law or third-party right.
14. Term & Termination
These Terms remain in effect while you use the Service. You may stop using the Service and cancel your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that risks harm to us or others.
Upon termination, your right to use the Service ends. We will handle your data in accordance with the retention provisions of our Privacy Policy. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
15. Modifications to the Terms or Service
We may update these Terms from time to time. For material changes, we will provide reasonable notice — for example, by email or an in-app notice — before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of the jurisdiction in which Paramly is established, without regard to conflict-of-law principles. The parties will attempt to resolve disputes informally before pursuing formal proceedings, which will be brought exclusively in the competent courts of that jurisdiction, unless applicable law requires otherwise.
17. General
These Terms, together with the Privacy Policy and any order forms, are the entire agreement between you and Paramly regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
